1. Introduction
These Terms of Use (“Terms”) govern your access to and use of Ladder, a bid leveling and proposal analysis service provided by Ladder AI (“Ladder AI,” “we,” “our,” or “us”).
Ladder helps contractors, subcontractors, construction teams, and related business users review, compare, organize, and level bids and proposals. Ladder may be used through Excel-based workflows, including web-based and local Excel environments, and related application features, integrations, files, and services.
By accessing or using Ladder, you agree to these Terms. If you do not agree to these Terms, you may not use Ladder.

2. Eligibility
Ladder is intended for business and professional use. You may use Ladder only if you are legally able to enter into a binding agreement and are authorized to use the service on behalf of yourself or your organization.
Ladder is not intended for children and is not directed to users under the age of 13.

3. Accounts and Login
To use Ladder, you may be required to create an account or log in through supported authentication methods, including Auth0 and Google sign-in. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to provide accurate account information and to promptly update it if it changes.

4. Description of the Service
Ladder is designed to support bid leveling for contractors. The service helps users upload, store, review, compare, and analyze proposals, bid documents, and related project content. Ladder may assist with extracting information from proposals, organizing bid data, identifying differences between submissions, and supporting more consistent comparison of contractor or subcontractor proposals.
Ladder is a productivity and decision-support tool. It does not replace professional judgment, legal review, procurement review, engineering review, financial review, or construction management expertise. You are responsible for reviewing all outputs and making final business decisions.

5. User Content
You may upload, submit, or generate proposals, bid documents, spreadsheets, project files, notes, and other content through Ladder (“User Content”). You retain ownership of your User Content.
By using Ladder, you grant Ladder AI a limited right to host, store, process, display, analyze, and otherwise use your User Content solely as necessary to provide, maintain, secure, troubleshoot, and improve Ladder and related services.You are responsible for ensuring that you have the rights and permissions necessary to upload and process any User Content through Ladder.

6. Confidential and Sensitive Business Information
Bid documents and proposals may contain confidential, proprietary, commercial, or project-sensitive information. You are responsible for determining whether Ladder is appropriate for the information you upload.Ladder AI will use reasonable administrative, technical, and organizational safeguards designed to protect User Content. However, no system can be guaranteed to be completely secure.
You should not upload content that you are not authorized to process or share through Ladder.

7. Acceptable Use
You agree not to use Ladder to:violate any law, regulation, contract, or third-party right;upload content you do not have permission to use;interfere with, disrupt, or compromise the security or integrity of Ladder;attempt to reverse engineer, copy, or misuse the service;upload malicious code, malware, or harmful files;use Ladder to make automated decisions that have legal or similarly significant effects without appropriate human review;use Ladder in a way that could damage Ladder AI, other users, or third parties.

8. Third-Party Services and Infrastructure
Ladder may rely on third-party service providers to operate and support the service, including cloud hosting, authentication, analytics, error monitoring, and infrastructure providers. These providers process information on our behalf and are not authorized to use it for their own unrelated purposes.
Current service providers may include Google Cloud Platform, Auth0, Google sign-in, PostHog, and Sentry.

9. Service Availability and Changes
We may modify, suspend, or discontinue Ladder or any part of the service at any time. We may also update features, workflows, integrations, or supported environments.
We will use reasonable efforts to maintain the service, but we do not guarantee that Ladder will always be available, uninterrupted, error-free, or compatible with every Excel environment, device, browser, system, or configuration.

10. Outputs and Decisions
Ladder may generate summaries, comparisons, extracted fields, recommendations, categorizations, or other outputs based on User Content. Outputs may be incomplete, inaccurate, or require verification.
You are solely responsible for reviewing Ladder outputs before relying on them. Ladder AI is not responsible for business, bidding, procurement, contracting, pricing, project, financial, or legal decisions made based on use of the service.

11. No Professional Advice
Ladder does not provide legal, financial, engineering, procurement, insurance, tax, or professional construction advice. Any information provided through Ladder is for informational and workflow-support purposes only.

12. Fees and Payments
At this time, Ladder does not process payments through the service. If paid plans or payment functionality are introduced in the future, additional terms may apply.

13. Intellectual Property
Ladder, including its software, design, workflows, features, interfaces, documentation, trademarks, and related materials, is owned by Ladder AI or its licensors and is protected by intellectual property laws.Except for the limited right to use Ladder under these Terms, no rights are transferred to you.

14. Feedback
If you provide feedback, suggestions, or ideas about Ladder, you grant Ladder AI the right to use that feedback without restriction or obligation to compensate you.

15. Privacy
Your use of Ladder is also governed by our Privacy Policy, included below. Please review it carefully to understand how we collect, use, and protect information.

16. Termination
You may stop using Ladder at any time. We may suspend or terminate your access if we believe you have violated these Terms, created risk for Ladder AI or others, or used the service unlawfully or improperly.
Upon termination, certain provisions of these Terms will continue to apply, including provisions relating to intellectual property, limitations of liability, disclaimers, and governing law.

17. Disclaimers
Ladder is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Ladder AI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

18. Limitation of Liability
To the fullest extent permitted by law, Ladder AI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of data, or procurement or bidding decisions, arising out of or related to your use of Ladder.
To the fullest extent permitted by law, Ladder AI’s total liability for any claim relating to Ladder or these Terms will not exceed the greater of: (a) the amount you paid to Ladder AI for the service in the three months before the claim arose, or (b) US $100.19. IndemnificationYou agree to defend, indemnify, and hold harmless Ladder AI from and against claims, damages, liabilities, losses, and expenses arising out of or related to your User Content, your use of Ladder, your violation of these Terms, or your violation of any law or third-party right.

20. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

21. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the effective date above. Continued use of Ladder after updated Terms become effective means you accept the updated Terms.
